These Terms of Service ("Terms") govern your use of the Finrock platform and services provided by Finrock ("Finrock," "we," "us"). By creating an account, signing an engagement, or otherwise using the service, you agree to these Terms on behalf of yourself and, if applicable, the company you represent.
The service
Finrock helps businesses identify, document, and file employment tax credits and related incentives. The specific credits and services available to you may change over time as programs are authorized, expanded, or paused.
Your account
You are responsible for the accuracy of the information you provide, for keeping your credentials secure, and for the activity of users you invite or authorize. Notify us promptly if you believe an account has been accessed without authorization.
Your responsibilities
- Provide accurate company and employee information needed to screen for and file credits.
- Ensure you have the legal right to share employee information with Finrock for the purposes described in our Privacy Policy.
- Cooperate reasonably with requests for documentation required by taxing authorities.
Authorization to file
When you engage Finrock to prepare or submit filings on your behalf, you authorize us and our designated preparers to do so using the information you provide and to communicate with the relevant agencies as needed to complete those filings.
Fees
Fees for our services are set out in your engagement with Finrock. Unless expressly stated otherwise, our fees are earned based on the credits we identify, document, and file on your behalf.
No tax or legal advice
Finrock is not a law firm or accounting firm and does not provide legal or tax advice. Our work is administrative and operational — identifying credits your business qualifies for, documenting eligibility, and preparing filings. Consult your own advisors for legal or tax advice specific to your situation.
Program availability
Certain credits, including WOTC and the Federal Empowerment Zone (FEZ) credit, depend on federal authorization and may be in a gap between reauthorizations. We prepare and position filings so that qualifying activity is captured and can be filed once programs are reinstated. We do not guarantee any specific legislative outcome.
Acceptable use
Do not use Finrock to submit information you know to be false, to interfere with the platform's operation, to attempt to gain unauthorized access, or in violation of applicable law.
Confidentiality and data
Our handling of business and employee information is described in our Privacy Policy, which is incorporated into these Terms.
Disclaimers
The service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, Finrock disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted or error-free.
Limitation of liability
To the maximum extent permitted by law, Finrock's total liability for any claim arising out of or relating to the service will not exceed the fees paid or payable by you to Finrock for the twelve months preceding the event giving rise to the claim. Finrock will not be liable for indirect, incidental, consequential, special, or punitive damages.
Termination
You may stop using the service at any time. We may suspend or terminate access if you materially breach these Terms or if we are required to do so by law. Provisions that by their nature should survive termination will survive.
Changes to these Terms
We may update these Terms from time to time. Material changes will be communicated through the service or by email. Continued use of the service after changes take effect constitutes acceptance of the updated Terms.
